EULA

Effective date: 9th of March, 2026

1. Introduction

This End-User License Agreement (“EULA”) is a legal agreement between you (“you” or “your”) and ProductTickler B.V., trading as Profinto (“we”, “our”, or “us”), for the use of Subscription Manager for Stripe (the “Software”).

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA.

2. Definitions

“Software” means the Subscription Manager for Stripe WordPress plugin, including all files, documentation, updates, and patches delivered to you.

“License” means the right granted to you under this EULA to install and use the Software according to the terms of your plan.

“License Key” means the unique activation key issued to you through Freemius upon purchase. Your License Key is tied to your account and your selected plan.

“Site” means a single WordPress installation running on a unique domain or subdomain.

3. Grant of license

Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on the number of Sites permitted by your plan.

The Software is licensed, not sold. We retain all ownership rights to the Software at all times.

Your license scope depends on the plan you purchased:

Each License Key may only be used on the number of Sites permitted by your plan. Staging and local development environments do not count toward the site limit.

4. Restrictions

You may not:

• Reverse-engineer, decompile, or disassemble the Software
• Modify, adapt, or create derivative works from the Software
• Redistribute, sublicense, rent, lease, or lend the Software
• Share, publish, or transfer your License Key to third parties
• Remove or alter any proprietary notices, labels, or branding
• Use the Software for any illegal purpose
• Use the Software to build a competing product

5. Intellectual property

All code, design, structure, documentation and branding of the Software remain the exclusive property of ProductTickler B.V. This EULA does not transfer ownership of any intellectual property to you.

All rights not explicitly granted in this EULA are reserved by ProductTickler B.V.

6. Updates and support

Paid license holders receive software updates and technical support for the duration of their active subscription.

When your subscription expires, the installed version of the Software continues to function.

We may release updates that add, modify, or remove features or functionality. We will make reasonable efforts to notify you of significant changes.

7. Telemetry and data collection

The Software does not collect usage data by default.

If you opt in to anonymous usage analytics, we collect non-personal technical data such as:

• PHP version
• WordPress version
• Active plugin count
• Feature usage patterns

You can disable this at any time from the plugin settings without losing any functionality. See our Privacy Policy for full details on how we handle data.

8. Ecosystem compatibility disclaimer

The Software is designed to work within the WordPress ecosystem and integrates with the Stripe API. Due to the nature of this ecosystem, we do not guarantee:

• Compatibility with all WordPress themes, plugins, or hosting environments;
• Uninterrupted operation following WordPress core updates;
• Compatibility with future versions of the Stripe API;
• That the Software will not conflict with other installed plugins or custom code.

We are not liable for site breakages, data corruption, or service disruptions caused by:

• WordPress core updates;
• Stripe API changes;
• Theme or plugin conflicts;
• Hosting environment changes or migrations;
• Conflicts with third-party plugins or custom code.

9. Warranty disclaimer

The Software is provided “as is” and “as available” without warranties of any kind, whether express or implied.

We disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Software will be error-free, uninterrupted, or free of harmful components.

10. Limitation of liability

To the maximum extent permitted by applicable law, as specified in article 13 of these terms:

• We are not liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to lost profits, lost data, business interruption, or loss of goodwill.
• Our total aggregate liability for any and all direct damages shall not exceed the fees you paid for the Software in the 12 months immediately preceding the claim.

This limitation does not exclude or limit liability for intentional acts or gross negligence under Dutch law.

11. Indemnification

You agree to indemnify ProductTickler B.V., its directors, employees and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your misuse of the Software;
• Your violation of this EULA;
• Your infringement of any third-party rights.

12. Termination

This EULA is effective until terminated.

This EULA terminates automatically if you breach any of its terms.

We may terminate your license if you violate these terms, provided we give you written notice of the violation.

Upon termination, you must:

• Stop using the Software immediately;
• Uninstall and delete all copies of the Software from your Sites;
• Destroy any backup copies in your possession.

The following sections survive termination of this EULA: Intellectual property (section 5), Warranty disclaimer (section 9), Limitation of liability (section 10), Indemnification (section 11), and Governing law (section 13).

13. Governing law

This EULA is governed by the applicable laws of the Netherlands.

Any disputes arising out of or in connection with this EULA shall be submitted to the competent court in the Province of Gelderland, the Netherlands.
